Terms of Service

By registering a company account or otherwise using TradeLink, you agree to be bound by these Terms of Service. If you are registering on behalf of a company, you confirm you have the authority to bind that company to these terms.

1. Who We Are

TradeLink ("we", "us", "the Platform") is a business-to-business (B2B) trade marketplace operated at tradelink.in, connecting manufacturers, traders, wholesalers, and other businesses to source products, request quotations, place purchase orders, and manage invoicing.

2. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts
You must register on behalf of a genuine, legally operating business entity
Information provided during registration (company name, GST/PAN/IEC, address, contact details) must be accurate and kept up to date
We reserve the right to verify company information and to suspend or reject accounts that cannot be verified

3. Account Registration & Approval

New company accounts are placed in "pending" status upon registration and are subject to review before full activation. We may request supporting documentation (business registration, GST certificate, IEC code) to verify legitimacy. We reserve the right to decline, suspend, or terminate any account at our discretion, particularly in cases of suspected fraud, misrepresentation, or abuse.

4. Nature of the Platform

TradeLink is a marketplace and communication tool — not a party to any transaction. We do not manufacture, own, inspect, ship, or guarantee any product or service listed on the platform. All negotiations, quotations, purchase orders, contracts, payments, and deliveries occur directly between the buyer and seller companies. TradeLink is not responsible for:

The quality, safety, legality, or accuracy of any product listing
The fulfillment, delivery, or performance of any purchase order
Disputes between buyers and sellers regarding quality, quantity, delay, or payment
Customs, export/import compliance, or cross-border regulatory requirements

Users are solely responsible for conducting their own due diligence before entering into any transaction.

5. User Roles & Permissions

Company Admins may invite team members and assign roles (Manager, Sales, Purchase, Accounts, Viewer) with different permission levels. The Company Admin is responsible for all actions taken by users under their company account, including team members they invite.

6. Products, RFQs, and Listings

You may only list products you are authorized to sell
Product descriptions, pricing, and specifications must be accurate and not misleading
RFQs (Requests for Quotation) posted publicly are visible to all suppliers on the platform
We reserve the right to remove any listing or RFQ that violates these terms, applicable law, or is reported as fraudulent or misleading

7. Orders, Invoicing & GST Compliance

Purchase orders and invoices generated through the platform are for the convenience of transacting parties; the underlying legal contract is between the buyer and seller
GST calculations (CGST/SGST/IGST) are auto-generated based on the state information provided by users and are provided as a convenience — users remain solely responsible for their own tax compliance and filings
Invoice numbering and PDF generation do not constitute tax or legal advice

8. Payments

Payment processing is handled through third-party gateways (Razorpay, Stripe). TradeLink does not hold, escrow, or guarantee funds transferred between buyer and seller companies unless explicitly stated in a separate agreement. Payment gateway fees, chargebacks, and disputes are subject to the respective payment processor's terms.

9. Subscription Plans & Billing

TradeLink offers Free, Starter, Professional, and Enterprise subscription tiers with different feature limits
Paid subscriptions are billed monthly and are non-refundable except as required by law
We reserve the right to change pricing with reasonable advance notice to active subscribers
Downgrading or cancelling a plan may result in loss of access to premium features (API access, verified badge, analytics) at the end of the current billing cycle

10. Prohibited Conduct

You agree not to:

List counterfeit, stolen, illegal, or prohibited goods
Misrepresent your company identity, products, or capabilities
Use the platform to spam, phish, or solicit users outside the scope of legitimate trade
Attempt to bypass security measures, scrape data at scale, or reverse-engineer the platform
Use another company's or user's account without authorization
Post reviews or ratings that are fraudulent, defamatory, or made in bad faith

11. Intellectual Property

The TradeLink name, logo, platform design, and underlying software are the property of TradeLink and its operators. Content you upload (product descriptions, images, company information) remains your property, but by posting it you grant TradeLink a limited license to display it on the platform for the purpose of operating the marketplace.

12. API Usage

API keys are issued for integrating your own systems with TradeLink. You are responsible for keeping API keys confidential. Excessive or abusive API usage may result in rate limiting or key revocation without notice.

13. Limitation of Liability

To the maximum extent permitted by law, TradeLink and its operators shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to lost profits, failed transactions, or disputes between users. Our total liability for any claim shall not exceed the subscription fees paid by you in the 3 months preceding the claim.

14. Account Suspension & Termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these terms, engaged in fraudulent activity, or posed a risk to other users or the platform. You may close your account at any time by contacting support; outstanding invoices and obligations to other users remain your responsibility after account closure.

15. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or use of the platform shall be subject to the exclusive jurisdiction of the courts of Tamil Nadu, India.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notice. Continued use of TradeLink after changes take effect constitutes acceptance of the revised Terms.
